These Terms and Conditions ("Terms") govern all aircraft title, escrow, document preparation, and related services (collectively, "Services") provided by Dixie Aire Title Service, Inc. ("DATS," "we," "our," or "us") to any individual or entity ("Client," "you," or "your"). By engaging DATS, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Aircraft – The aircraft, airframe, engine(s), or related collateral that is the subject of the Services.
FAA – The United States Federal Aviation Administration and its Civil Aviation Registry.
Business Day – Any day other than a Saturday, Sunday, or U.S. federal holiday on which the FAA Registry is open.
2.1 Service Description. DATS provides aircraft title searches, lien and encumbrance searches, document drafting, escrow facilitation, registration, deregistration, and related advisory services as outlined in written quotes, invoices, or engagement emails ("Engagement Letter").
2.2 No Legal Advice. DATS is not a law firm and does not provide legal advice. Information and documents furnished by DATS are for informational purposes only and should not substitute for advice of qualified legal counsel.
2.3 Third‑Party Filings. Where Services include submission of documents to the FAA or other authorities, acceptance and processing times are controlled solely by those authorities and are outside DATS’s control.
3.1 Accurate Information. You must supply complete and accurate information, documents, signatures, and authorizations necessary for DATS to perform the Services.
3.2 Timely Responses. You agree to respond promptly to DATS’s information or approval requests. Delays in your response may postpone filings or closings and may incur additional fees.
3.3 Regulatory Compliance. You remain responsible for ensuring regulatory compliance (including export and airworthiness requirements) applicable to your transaction.
4.1 Fees. Fees are as quoted in DATS’s price schedule or Engagement Letter. Additional work outside the original scope may be billed at our prevailing hourly rate.
4.2 Invoices. Invoices are due upon receipt unless otherwise stated. Unpaid balances after 30 days accrue interest at 1.5 % per month (18 % per annum) or the maximum rate allowed by law.
4.3 Payment Methods. We accept ACH, wire transfer, or major credit cards. Credit‑card payments may be subject to a convenience fee disclosed on the invoice.
5.1 Estimated Completion. Any dates provided for completion are estimates conditioned upon timely receipt of all required information, signatures, and third‑party approvals.
5.2 Holiday & FAA Closures. Filings submitted after the FAA daily cut‑off (typically 3:00 p.m. Central Time) or on non‑Business Days will be processed the next Business Day.
DATS’s title reports and document summaries are compiled from public records available at the time of search. While we use commercially reasonable efforts to ensure accuracy, DATS does not warrant that the FAA Registry or other public records are free from error or omission.
7.1 Maximum Liability. DATS’s aggregate liability arising out of or related to the Services is limited to the total fees paid by Client for the specific Service giving rise to the claim.
7.2 Consequential Damages. DATS shall not be liable for any indirect, special, incidental, or consequential damages, including loss of use, profits, or business interruption, even if advised of the possibility of such damages.
7.3 Third‑Party Actions. DATS is not liable for delays, errors, or actions of the FAA or any other governmental or private entity.
8.1 Confidential Information. Each party agrees to keep confidential all non‑public information obtained from the other and to use such information solely for performing or receiving the Services.
8.2 Data Protection. DATS employs commercially reasonable administrative, technical, and physical safeguards to protect Client information. However, no system is entirely secure; you acknowledge this risk when transmitting data electronically.
All templates, reports, and proprietary processes developed by DATS remain DATS’s intellectual property. Upon full payment, you receive a non‑exclusive, non‑transferable license to use deliverables solely for your internal business purposes.
Both parties shall comply with all applicable federal, state, and local laws, regulations, and export‑control requirements. Transactions involving U.S.‑origin aircraft may require export certificates of airworthiness before deregistration; filing out of sequence may cause significant cost or delays.
11.1 Client Cancellation. You may cancel Services by written notice. Fees for work already performed and non‑refundable third‑party costs will be invoiced and are immediately due.
11.2 DATS Cancellation. DATS may suspend or terminate Services for non‑payment or breach of these Terms upon written notice to you.
Neither party is liable for failure or delay to perform obligations (excluding payment obligations) due to causes beyond its reasonable control, including acts of God, labor disputes, or governmental actions.
These Terms are governed by and construed in accordance with the laws of the State of Oklahoma without regard to conflict‑of‑law rules. Any dispute shall be submitted to a state or federal court of competent jurisdiction located in Oklahoma County, Oklahoma.
DATS may amend these Terms from time to time. The version in effect at the time of your Service request will govern that engagement. Updated Terms will be posted on DATS’s website or provided upon request.
These Terms, together with any Engagement Letter and invoice, constitute the entire agreement between the parties and supersede all prior or contemporaneous communications concerning the Services.
